Rosa M. Lázaro-San Miguel

Rosa M. Lázaro-San Miguel is a member in the Corporate Department and is currently the Chairwoman of the Firm’s Executive Committee . She joined O’Neill & Borges in 1988. From 1986 to 1987, Rosa served as law clerk of the Honorable Peter Ortíz, Justice of the Supreme Court of Puerto Rico.

Rosa has a diverse corporate practice, which includes assisting U.S. and foreign based entities with the establishment of their operations in Puerto Rico. She also has a significant amount of experience in the areas of mergers and acquisitions, insurance, health law and employee benefits.

In the mergers and acquisitions area, Rosa has represented both sellers and buyers in various types of transactions in several types of industries, including management buyouts and privatization of government-owned businesses.

In the insurance area, Rosa assists clients on regulatory matters and represents clients before the Office of the Commissioner of Insurance in matters such as authorization to do business, audits and requests of approvals for different types of transactions, including change of control. Rosa has also represented various clients in the acquisition and sale of insurance businesses in Puerto Rico.  In addition Rosa has also assisted clients in their dealings with other Puerto Rico regulatory agencies including the Puerto Rico Department of Health.

In the employee benefits area, Rosa has assisted many clients with the establishment of new employee benefit plans or with the implementation in Puerto Rico of plans that are in place in the U.S. She also advises clients on compliance with Puerto Rico and Federal laws and regulations, including the qualification process of certain types of plans.

During her career she has represented:

  • Esso Standard Oil Company of Puerto Rico in the sale of its fuel marketing business in Puerto Rico and other islands of the Caribbean.
  • Stewart Enterprises in the acquisition of various cemeteries and funeral homes in Puerto Rico.
  • Cardinal Health in the acquisition of wholesale distributors of pharmaceutical products.
  • Acadia Merger Sub LLC acquisition of a hospital in Puerto Rico.
  • Medical Card System, Inc. in different transactions including transactions involving the sale of stock to a private equity fund.
  • Federal Mogul in the acquisition of a retail chain of auto parts stores.
  • Mapfre Group in the acquisition of the Puerto Rican American Insurance Company.
