Samuel Rosado-Domenech

Samuel Rosado-Domenech is a member in the Corporate Department and has been with the firm since 1995.

Samuel’s diverse practice involves a wide variety of matters relating to business formation, business and tax planning, merger, acquisition and reorganization transactions, and secured and unsecured financing transactions. Samuel also assists clients in the pre-development and development stages of construction projects providing advice and counsel necessary to keep such projects moving forward from a land use and permits standpoint. His experience and knowledge covers all facets of commercial real estate transactions, including development planning and permitting, project and infrastructure finance, investment, leasing, acquisition/disposition, and real estate finance.

As a former Deputy Executive Director of the Puerto Rico Tourism Company, Samuel brings a results-oriented approach to his legal practice. At the Tourism Company, he concentrated his efforts in the areas of hotel development and in the management of the Tourism Company’s interests in various hotels in Puerto Rico. Currently, Samuel represents some of the leading hotels and casinos in Puerto Rico during their development as well as their operational stages. He has also been critical in the conceptualization, creation and growth of the tourism incentives and tax credits program of the Puerto Rico Government and has assisted clients in accessing and making use of such benefits.

Recent Representative Matters:

  • Representation of The Taubman Realty in the land use and permitting aspects of a 600,000 plus square feet shopping center in Puerto Rico.
  • Representation of Dragados USA in connection with the following two projects sponsored by the US Army Corps of Engineers: the construction of the Portuguese Dam in Peñuelas, Puerto Rico and the dredging of the Rio Puerto Nuevo in San Juan, Puerto Rico.
  • Representation of a consortium composed of Morgan Stanley Infrastructure and OHL Concesiones, bidding for the concession to finance, operate, maintain and rehabilitate the PR-22 and PR-5 toll roads in Puerto Rico, the first of various projects sponsored by the Puerto Rico Government as part of its public-private partnership program.
  • Representation of Simon Property Group in the land use and permitting aspects of a major renovation and expansion of a 400,000 plus square feet shopping center in Puerto Rico.
  • Representation of investors, lenders, developers, owners and operators of hotels which in the aggregate form part of more than 50% of the hotels and casinos in the San Juan metro area (in connection with properties branded or operated by Hilton, Starwood, Marriott and IHG, among others) in tax, tax exemption, contractual, permitting and compliance, licensing and general operational matters.
  • Representation of Northpoint Hospitality Group, Inc. in the development from ground-up of various hotels in Puerto Rico.
  • Representation of Airport Shoppes and Hotels Corp. in the acquisition of existing hotels and in the development from ground-up and financing of various hotels in Puerto Rico.
  • Representation of non-Puerto Rico manufacturers and its equity investors in divestiture activities of its Puerto Rico operations, including those of Catalent Pharma Solutions, Medisearch and Gaymar Industries.
  • Representation of local health insurer MCS in a major PBM agreement with a third party administrator.
