Rafael Hernández-Miranda

Rafael is a member in the Corporate Department.  Rafael joined O’Neill & Borges in 2005.  His practice focuses on general corporate law, corporate and public finance, insurance and health law, government contracts and procurement, mergers and acquisitions and government and legislative affairs.

Between 1999 and 2002, Rafael worked in the sales & trading division of a major bank in New York, New York.  Rafael represents private and governmental clients in the evaluation and monitoring of proposed and pending legislation, attends public hearings, prepares position papers on proposed or pending bills and resolutions, and drafts legislation and amendments to pending legislation.  Rafael has also been involved in numerous merger and acquisition transactions, representing both buyers and sellers.  He also has an active practice in compliance with laws and regulations applicable to governmental transactions, local licensing matters, commercial laws, distribution and franchise laws, and general corporate law.

During his career, he has represented:

  • Tyco International Ltd. in the reorganization of its local operations.
  • Sojitz Corporation of Japan in the acquisition of the Hyundai vehicles distribution business in Puerto Rico.
  • World Fuel Services in the acquisition of Petro Air.
  • Acadia Healthcare in the acquisition of San Juan Capestrano Hospital.
  • OpSec Security in the acquisition of Advantics.
  • Patronato de Monumentos de San Juan in several private placements of notes.
